GENERAL

 

            Rogut McCarthy Troy LLC provides representation to governmental entities, insurance companies, insurance brokers, financial institutions, corporations, and individuals in several specialized areas of practice:  public entity law; public finance; real estate; banking; first party property insurance coverage; reinsurance; subrogation; fidelity/surety; commercial transactions and litigation; and labor/employment law.  Our aggressively sized firm brings together experienced attorneys dedicated to, and capable of, providing clients the highest quality services in an efficient, timely, result-oriented, and cost-effective manner.          

 

            We have the ability and resources to provide quality legal services and advice to clients on a broad range of issues and legal matters.  Our attorneys regularly counsel governmental units, including municipalities, boards of education, county governments and authorities, as well as insurance and surety companies, and banks and corporations, in both transactional and litigation matters.  All services are tailored to the needs of a given situation, and clients are kept closely apprised of the status of all pending matters.

 

 

GOVERNMENTAL PRACTICE

 

            The firm provides representation to governmental entities in several practice areas.  We currently serve as general counsel to the Borough of Highland Park and through calendar 2001 served as general counsel to the City of Perth Amboy, and continue to serve as special counsel to the City on labor, litigation and redevelopment issues.  As Borough Counsel for the Borough of Highland Park we are actively involved in all legal issues, including the redevelopment of the Borough's commercial and industrial district.  The firm is also general counsel to the Paterson Housing Authority, and is responsible for the legal oversight of that agency's one hundred million dollar redevelopment initiative through HUD's Hope VI Program.  The State of New Jersey's Department of Community Affairs deemed Daniel J. McCarthy eligible to serve as the Executive Director of a redevelopment agency.  Mr. McCarthy currently serves as the Executive Director of the Borough of Roselle Redevelopment Agency.  The firm also represents the city of Trenton in redevelopment matters.  The firm serves as counsel to the Planning Board for the Township of Union and acts as special counsel to the Township on land use and development issues.  The firm is also special counsel to the Township of Cedar Grove for redevelopment and labor issues.  The firm is also labor counsel for the Borough of Kenilworth and the City of Linden and for the Township of Aberdeen, serves as labor, redevelopment, special and bond counsel. The firm also presently serves as bond counsel to approximately 96 governmental entities in New Jersey.  Representative clients include Union County, Woodbridge, Millburn and the Wayne Board of Education.  The firm also serves as counsel to underwriters, placement agents, trustees and lessors in bond and certificate of participation issues, including issues for the State of New Jersey (the "State") and New Jersey Health Care Facilities Financing Authority.  The firm's public finance attorneys have significant experience in various counsel roles for the State and its agencies.  The firm has also been designated general counsel to the Hyatt Hills Golf Course Commission, a joint governmental body of the Townships of Cranford and Clark, in Union County, which has developed and is operating a golf course on former industrial property leased from General Motors.  The firm also provides special litigation counsel services to various governmental entities, including the City of Linden and the Township of Hillside.

 

            In addition, the firm's attorneys represent a variety of municipal and joint entities with respect to finance and development matters.  The firm is currently counsel to a public-private partnership funded through $30 million HUD Hope VI grant for the Housing Authority of the City of Elizabeth's revitalization of the Elizabeth waterfront.  This effort will be directly responsible for over $100 million of redevelopment on that waterfront.  We are involved in and principally responsible for all aspects related to the legal requirements of the redevelopment team, including the development and negotiation of a Master Development Agreement, all appearances and applications before various State and local bodies including various boards of the City of Elizabeth and State agencies relating to tax abatement, tax credits, site plan approvals, variances, and related matters.  The firm is likewise responsible for the negotiation of all agreements with other professionals related to the project and is required to, and has worked closely with all State, Federal and local legislative leaders to ensure the success of the project. The firm is also responsible for ensuring that all Federal and State regulatory requirements are met, including, specifically, all HUD requirements related not only to the project construction itself, but as to procurement of mixed finance proposals.

  

 

INSURANCE/COMMERCIAL LITIGATION PRACTICE

 

            The firm represents insurance carriers in a wide range of first party property, excess insurance and reinsurance matters arising out of commercial and industrial losses, including fires, explosions, structural collapses, equipment failures, power interruption, release/discharge of contaminants/pollutants, mold damage and claims for bad faith insurance practices.  Services in this area include coverage analysis and representation in related litigation, arbitrations and/or appraisals arising out of disputes under various commercial property policies and reinsurance certificates/treaties.  The firm also engages in the representation of insurance companies and other commercial entities in subrogation/recovery actions and general litigation pertaining to construction defect, product liability, contract/warranty, advertising injury, inland marine/cargo losses, insurance agent/broker errors and omissions, professional liability, fraud and claims arising out of commercial transactions.  The firm's representative clients include:  Liberty Mutual Insurance Company, Employers Reinsurance Corporation (ERC), Industrial Risk Insurers, FM Global, Zurich North America, ACE USA, St. Paul Travelers, Liberty International Underwriters, Philadelphia Insurance Company, Penn Millers Insurance Company, VeriClaim, Inc., Engle Martin & Associates and various Lloyd's of London syndicates.
